OVERVIEW

Welcome to Hollie Tree Trade.

Hollie Tree Ltd, trading as Hollie Tree Trade (“Hollie Tree Trade”, “we”, “us” and “our”), operates this store and website, including all related information, content, features, tools, products and services (the “Services”). Hollie Tree Trade is powered by Shopify, which enables us to provide the Services to you.

These Terms of Service (“Terms”), together with any policies or specific written terms referred to in them, govern your access to and use of the Services and purchases made through Hollie Tree Trade.

Our trade store is intended for business customers purchasing products wholly or mainly for purposes relating to their trade, business, craft or profession. By applying for a trade account or placing an order through our trade store, you confirm that you are acting as a business customer and not as a consumer.

Please read these Terms carefully before using the Services or placing an order.

By accessing or using the Services, you agree to these Terms and our Privacy Policy. If you do not agree to them, you should not use the Services.

Where we have expressly agreed separate written commercial terms with you, those specific agreed terms will take precedence to the extent that they conflict with these Terms.

SECTION 1 – TRADE ACCOUNTS AND ACCESS

Access to trade pricing and ordering may be restricted to approved trade customers.

We reserve the right to approve or decline applications for trade accounts and to suspend or withdraw trade account access where we reasonably consider this appropriate.

You agree to provide accurate, current and complete information when applying for or using a trade account and to notify us if your details change.

You are responsible for maintaining the security of your account and for activity carried out through it. Where more than one person is authorised to purchase on behalf of your business, you are responsible for ensuring that those persons are appropriately authorised.

Trade accounts and trade pricing are provided for business purchasing and must not be transferred to or used by an unauthorised third party.

SECTION 2 – PRODUCTS

We make reasonable efforts to ensure that product descriptions, specifications, photographs and other information displayed on our website are accurate.

Colours, finishes and appearance may vary slightly from images displayed on screen, and minor variations may occur between products or production batches where this does not materially affect the nature or quality of the product.

Product descriptions, ranges, packaging and availability may change from time to time. We may discontinue products or limit quantities where reasonably necessary.

Unless otherwise stated, recommended retail prices (“RRPs”) shown on the website are recommendations only. Trade customers remain responsible for determining their own resale prices, subject to applicable law.

Products purchased through Hollie Tree Trade may be resold in the ordinary course of your business. You must not remove, obscure or alter product safety information, warnings, labels or other regulatory information supplied with our products where that information is required to accompany the product.

SECTION 3 – ORDERS AND ACCEPTANCE

When you submit an order through our trade store, you are making an offer to purchase the products shown in your order.

An automated Shopify order confirmation or acknowledgement confirms that we have received your order. It does not mean that your order has been finally accepted, that payment has been taken, or that a VAT invoice has been issued.

Trade orders are reviewed by us before final acceptance. This review may include product availability, pricing, carriage, your trade account status and any applicable payment terms.

No payment is normally taken through the website when a trade order is submitted.

Following review, we may provide payment instructions, a proforma invoice, a VAT invoice, confirmation of agreed credit terms or other information necessary to progress the order.

A contract for the supply of goods is formed when we expressly confirm acceptance of the order or dispatch the goods. An automated order acknowledgement or a request for payment does not by itself constitute acceptance unless we expressly state otherwise.

We reserve the right to decline or cancel an order before acceptance, including where:

  • a product is unavailable;
  • there has been a pricing, description or stock error;
  • minimum order requirements have not been met;
  • appropriate carriage cannot be arranged;
  • there are outstanding amounts on your account;
  • we are unable to verify information supplied in connection with the order; or
  • we reasonably believe the order cannot lawfully or appropriately be fulfilled.

If we cancel an order after receiving payment, we will refund the amount paid for the cancelled goods.

SECTION 4 – PRICES AND VAT

Unless expressly stated otherwise, all trade prices shown on Hollie Tree Trade are exclusive of VAT.

VAT will be added at the applicable rate.

Any VAT figure displayed during checkout may be described as estimated and remains subject to final review and invoicing.

Prices may change from time to time. Changes will not affect an order that we have already accepted unless required by law or agreed with you.

If we discover an obvious pricing error after an order has been submitted, we will contact you before accepting the affected order. We will not require you to purchase the affected product at a higher corrected price without your agreement.

Discounts, promotions and special pricing may be subject to additional conditions.

SECTION 5 – MINIMUM ORDERS, CARRIAGE AND DELIVERY

For standard UK Mainland deliveries, the minimum trade order is £100 excluding VAT.

For UK Mainland orders:

  • orders from £100 to £249.99 excluding VAT are charged £8.99 carriage; and
  • orders of £250 excluding VAT or more qualify for free UK Mainland carriage.

For destinations outside our standard UK Mainland delivery area, a minimum order of £400 excluding VAT normally applies and carriage will be confirmed following review of the order.

Where an order is for delivery outside our standard UK Mainland area, any carriage figure displayed automatically during checkout should not be regarded as final until we have reviewed and confirmed the delivery charge.

Delivery dates and times given by us are estimates unless we expressly agree otherwise in writing.

We will make reasonable efforts to dispatch and deliver orders within any estimated timescale but will not be responsible for delays caused by events outside our reasonable control.

You are responsible for providing a complete and accurate delivery address and for ensuring that somebody is available to receive the delivery where necessary.

Risk in the goods passes to you when the goods are delivered to the agreed delivery address. Ownership of goods remains with Hollie Tree Ltd until we have received payment in full for those goods.

SECTION 6 – PAYMENT AND CREDIT TERMS

Payment arrangements are determined following review of your trade order.

New trade customers may be required to pay in advance before goods are dispatched.

We may, at our discretion, offer credit terms to approved customers. Any agreed credit period or payment date will be shown on the relevant invoice or otherwise confirmed by us in writing.

You must pay invoices in accordance with the payment terms shown on the invoice or otherwise agreed with us.

The provision of credit terms on one or more orders does not oblige us to provide credit on future orders. We may amend, suspend or withdraw credit facilities where reasonably necessary, including where payments become overdue.

If an amount becomes overdue, we may suspend further orders or deliveries until the account is brought up to date.

Where applicable, we reserve the right to claim statutory interest, compensation and reasonable debt-recovery costs available in respect of late commercial payments.

UK rules permit statutory interest and certain recovery costs on qualifying late B2B payments; GOV.UK currently describes statutory interest as 8% plus Bank of England base rate where the statutory regime applies.

SECTION 7 – CANCELLATIONS, RETURNS, SHORTAGES AND DAMAGED GOODS

Orders placed through Hollie Tree Trade are business-to-business transactions. Consumer cancellation rights that apply to purchases made by consumers do not apply to orders placed wholly or mainly for business purposes.

If you wish to cancel or change an order, please contact us as soon as possible. We may be unable to accommodate changes or cancellations once an order has been accepted, prepared or dispatched.

Returns of correctly supplied, non-faulty goods are subject to our prior agreement.

Please inspect deliveries as soon as reasonably practicable after receipt.

Any shortages, incorrect items or goods visibly damaged in transit should be reported to us promptly, ideally within 5 working days of delivery, together with reasonable supporting information or photographs where appropriate.

If goods are faulty, damaged or materially different from what was ordered, please contact us so that we can investigate and, where appropriate, arrange a replacement, credit or refund.

Nothing in these Terms excludes or limits any rights or remedies that cannot lawfully be excluded.

SECTION 8 – PRODUCT AVAILABILITY AND CHANGES

All products are subject to availability.

We may substitute packaging or make minor changes to products where the change does not materially alter the nature or quality of the product.

We will not substitute a materially different product without your agreement.

We may limit quantities, withdraw products or refuse further orders where reasonably necessary.

SECTION 9 – INTELLECTUAL PROPERTY

The content of our website, including our trading names, branding, logos, product names, photographs, graphics, text and designs, is owned by or licensed to Hollie Tree Ltd and is protected by applicable intellectual property laws.

Your trade account does not transfer ownership of any intellectual property to you.

You may use product names, descriptions, images or promotional materials that we expressly provide for retailer use solely for the purpose of advertising and reselling genuine Hollie Tree products obtained from us.

You must not use our intellectual property in a manner that is misleading, defamatory or likely to suggest an association, endorsement or relationship beyond that which actually exists.

Any other reproduction, modification or commercial use of our website content requires our prior permission.

SECTION 10 – USE OF THE WEBSITE

You may use the Services only for lawful business purposes.

You must not:

  • use the Services unlawfully or fraudulently;
  • attempt to gain unauthorised access to the website, accounts or systems;
  • introduce viruses, malware or other harmful technology;
  • interfere with the operation or security of the Services;
  • scrape, extract or systematically reproduce substantial parts of the Services without permission;
  • impersonate another person or business;
  • submit deliberately false or misleading information; or
  • infringe our rights or those of another person.

We may restrict or suspend access where we reasonably believe these Terms have been breached.

SECTION 11 – THIRD-PARTY SERVICES AND LINKS

Our website may contain links to third-party websites or use services provided by third parties.

We are not responsible for the content, availability, security or privacy practices of third-party websites that we do not control.

Your use of a third-party service may also be subject to that provider's own terms and privacy policy.

SECTION 12 – RELATIONSHIP WITH SHOPIFY

Hollie Tree Trade is powered by Shopify, which provides the ecommerce technology used to operate the store.

Any contract for goods purchased from Hollie Tree Trade is between you and Hollie Tree Ltd, not Shopify.

Shopify is not the seller of the products available through Hollie Tree Trade and is not responsible for fulfilling our obligations to you as the supplier of those goods.

Your use of Shopify-related functionality may also involve processing of information by Shopify as explained in our Privacy Policy and Shopify's applicable privacy information.

SECTION 13 – PRIVACY

We process personal information in accordance with our Privacy Policy.

Our Privacy Policy explains what information we collect, why we use it, the lawful bases on which we process it, when information may be shared and the rights available to individuals under applicable data-protection law.

SECTION 14 – ERRORS AND WEBSITE AVAILABILITY

We make reasonable efforts to keep information on the Services accurate and up to date, but errors or omissions may occasionally occur.

We may correct errors relating to product descriptions, pricing, availability, promotions, carriage or other information.

We do not guarantee that the website will always be uninterrupted or error-free and may suspend access temporarily for maintenance, security or other operational reasons.

SECTION 15 – EVENTS OUTSIDE OUR CONTROL

We will not be responsible for a failure or delay in performing our obligations where that failure or delay results from circumstances outside our reasonable control.

Such circumstances may include disruption to transport or courier networks, severe weather, fire, flood, industrial disputes, failures of utilities or communications networks, governmental action, epidemics, pandemics, war, terrorism or significant supply-chain disruption.

Where such an event affects an order, we will make reasonable efforts to keep you informed and to minimise the effect of the disruption.

SECTION 16 – LIABILITY

Nothing in these Terms excludes or limits liability for:

  • death or personal injury caused by negligence;
  • fraud or fraudulent misrepresentation;
  • any liability that cannot lawfully be excluded or limited; or
  • any other matter for which exclusion or limitation would be unlawful.

Subject to the above, to the fullest extent permitted by law, Hollie Tree Ltd will not be liable for indirect or consequential loss or for loss of profit, revenue, business, anticipated savings, goodwill or business opportunity arising out of or in connection with an order or use of the Services.

Subject to the exclusions above, our total liability arising out of or in connection with a particular order will not exceed the total amount paid or payable to us for that order.

Nothing in these Terms is intended to exclude or restrict liability where doing so would not satisfy any applicable legal requirement of reasonableness.

SECTION 17 – SUSPENSION AND TERMINATION

We may suspend or terminate your trade account or access to the Services where reasonably necessary, including where:

  • amounts due to us remain unpaid;
  • account information is materially inaccurate;
  • we reasonably suspect fraud or misuse;
  • these Terms have been seriously or repeatedly breached; or
  • continuing to provide the account or Services would expose us to legal, regulatory or material commercial risk.

Termination of a trade account does not affect rights or obligations that arose before termination, including your obligation to pay outstanding invoices.

SECTION 18 – SEVERABILITY

If any provision of these Terms is found to be unlawful, invalid or unenforceable, that provision will be treated as modified to the minimum extent necessary to make it valid and enforceable or, if that is not possible, severed from the Terms.

The remaining provisions will continue in effect.

SECTION 19 – WAIVER

If we delay or fail to enforce any provision of these Terms, this does not mean that we have waived our right to enforce that provision or any other provision later.

SECTION 20 – ENTIRE AGREEMENT

These Terms, together with the order, our applicable policies and any specific commercial terms agreed by us in writing, form the agreement between us relating to your purchase.

Where specific written terms have been expressly agreed with you and conflict with these Terms, the specifically agreed terms will take precedence.

Nothing in this section limits liability for fraud or fraudulent misrepresentation.

SECTION 21 – ASSIGNMENT

You may not transfer your rights or obligations under an accepted order to another person or business without our prior written consent.

We may transfer our rights or obligations where this does not materially reduce your rights under the agreement.

SECTION 22 – GOVERNING LAW AND JURISDICTION

These Terms and any contract between you and Hollie Tree Ltd are governed by the laws of England and Wales.

The courts of England and Wales will have exclusive jurisdiction over disputes arising out of or in connection with these Terms or any contract between us, unless we expressly agree otherwise in writing.

SECTION 23 – CHANGES TO THESE TERMS

We may update these Terms from time to time, including to reflect changes to our business, Services, policies or applicable law.

The current version will be published on our website together with the date it was last updated.

Changes to these Terms will not retrospectively alter the terms of an order that we have already accepted unless required by law or expressly agreed between us.
